Founding offer

Launch guarantee

The promise: if a founding Merchant completes all four launch-playbook steps and has fewer than 15 eligible active pet-parent accounts at the finalized day-60 checkpoint, Koudhai LLC will invoice the next three $299 subscription periods at $0.

This is a limited future-service credit, not cash and not a money-back guarantee. The $1,000 managed-launch fee is not refunded. The guarantee applies only when incorporated into a signed Founding Merchant Order Form.

Guarantee period

The clock begins when the Merchant first successfully publishes its pet-parent app (“Launch Date”). The checkpoint occurs after 60 consecutive 24-hour periods. The system measures the result at that timestamp even if administrative finalization happens later.

Four required playbook steps

  1. Complete the onboarding and staff-enablement session with an authorized owner or manager and relevant staff.
  2. Download the Merchant’s MyPet Club QR entry asset.
  3. Schedule or start at least one offer campaign through MyPet Club.
  4. Successfully publish the pet-parent app. This event starts the 60-day clock.

Eligible active accounts

An eligible active account is a distinct pet-parent account with an active membership at the checkpoint for the Merchant covered by the Order Form. Owner, admin, staff, invited-team, test, complimentary, fraudulent, sham, duplicate, self-dealing, or collusive accounts do not count. Paused, past-due, incomplete, cancellation-scheduled, and canceled memberships do not count. Each distinct pet-parent account may count no more than once.

Outcome and remedy

The waiver does not apply to the managed-launch fee, amounts already paid, processor fees, refunds, disputes, chargebacks, taxes, messaging, optional services, or later subscription periods. It has no cash value, is not transferable, and cannot be used for another organization. Normal billing resumes after the three waived periods unless the Agreement has ended.

Eligibility and outages

The Merchant must keep the service active and remain in material compliance through checkpoint finalization. No remedy is owed if the Merchant ends or disables the service before the checkpoint, supplies false information, manipulates eligibility, fails to maintain a needed payment account, or remains in uncured material breach.

If a confirmed Provider-controlled outage prevents enrollment or use of a required playbook feature for four or more continuous hours, the checkpoint is extended by one full day for each started 24-hour period of qualifying outage.

Records and disputes

The dashboard and checkpoint record identify the Launch Date, checkpoint, qualifying count, playbook evidence, and result. A Merchant should notify billing@mypetclub.pet of a good-faith calculation dispute within 30 days after the result. We will review the records and correct confirmed errors. This notice period does not waive rights that cannot legally be waived.
